Terms of Service

These Terms govern your use of Podunio, a content-transformation and listening service provided by Podunio LLC.

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Podunio LLC ("Podunio," "we," "us," or "our"), a Connecticut limited liability company. By accessing or using Podunio, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to independently create and use a standard Podunio account.

Podunio may also make the service available to students under 18 through schools, school districts, educators, parents, guardians, or other authorized educational arrangements. A minor may use Podunio only when that access is appropriately authorized and supervised under the applicable educational or parental arrangement.

If you use or administer Podunio for a school, business, or other organization, you represent that you have appropriate authority to act for that organization.

3. Podunio Service

Podunio is a content-transformation and listening tool that converts user-provided source content into AI-generated podcast-style audio. Current supported uploads include PDF, TXT, and Markdown files. Webpage capture through the Chrome extension is coming soon.

4. Accounts

Podunio currently uses Google authentication. You are responsible for keeping access to your Google account secure and for activity under your Podunio account. You must provide accurate information, must not impersonate another person, and must promptly notify us at [email protected] if you suspect unauthorized use.

5. Free Plan

The current free plan includes two podcast generations for the lifetime of the account, with approximately 1,000 source words per free generation. It is not a monthly allowance, and no credit card is required. Podunio may enforce reasonable technical limits and may truncate content that exceeds the applicable source limit after providing the product's relevant warning.

6. Future Paid Plans

The Pro plan advertised at $4.99 per month for 150 podcast-generation minutes per month is coming soon. Paid subscriptions are not currently active, and references to Pro describe a planned offering rather than a currently available purchase.

When paid plans launch, additional terms concerning billing, renewal, cancellation, taxes, and refunds will apply and will be presented as appropriate before purchase. Features, limits, and pricing may be updated before launch.

7. Business & Education Plans

Podunio may offer plans for businesses, schools, districts, universities, departments, and other organizations. Organization-specific pricing and terms are handled directly with Podunio and may be governed by a separate written agreement. For Business & Education inquiries, email [email protected].

8. User Content

You retain ownership of your original source content. You are responsible for everything you submit and must have the legal right or authorization to process it through Podunio. You may submit your own content, content you are authorized to use, or business or employer material when you have appropriate authorization.

Use care before submitting confidential material, sensitive business information, legally privileged content, regulated information, or personal data. You are responsible for confirming that you are permitted to process that material. Podunio is not represented as HIPAA compliant or as specially designed for regulated, privileged, or confidential information.

9. Content Processing License

You grant Podunio LLC a limited, non-exclusive license to receive and temporarily process your source content, transmit necessary content to service providers, generate podcast content, generate and store audio, and otherwise use the content only as reasonably necessary to provide, secure, and support the service.

This license does not transfer ownership of your uploaded materials to Podunio. It lasts only as long as reasonably necessary for the permitted purposes, subject to legitimate backup, security, legal, and operational requirements.

10. AI-Generated Content

Podunio uses artificial intelligence and text-to-speech services to create titles, scripts, and audio. Outputs are generated from your source content but may not be unique, and other users may receive similar output. Rights in AI-generated material can vary by jurisdiction. You are responsible for determining whether and how you may use generated content.

11. Accuracy Disclaimer

AI-generated podcasts may omit details, summarize incorrectly, misunderstand context, change nuance, mispronounce words, contain factual errors, or otherwise differ from the original source. Always verify important information against the original material. Podunio is a listening aid and is not an authoritative replacement for source content.

12. Professional Advice Disclaimer

Generated podcast content is provided for general informational and listening purposes. It is not a substitute for medical, legal, financial, tax, investment, or other professional advice. You remain responsible for your decisions and for consulting an appropriately qualified professional.

13. Prohibited Uses

You may not use Podunio to:

  • violate any law or process personal information unlawfully;
  • submit copyrighted or other protected content without authorization;
  • infringe, misappropriate, or violate another person's rights;
  • upload malicious files or content, or attack, probe, disrupt, or damage Podunio systems;
  • bypass technical controls, generation allowances, or usage restrictions;
  • fraudulently create or use multiple accounts to evade limits; or
  • engage in fraud, harassment, abuse, or other misuse of the service.

14. Intellectual Property

You retain your rights in content you upload. Podunio LLC and its licensors retain their rights in the Podunio name and branding, website, application, software, design, interfaces, and proprietary technology. Except for the limited right to use the service under these Terms, no rights in Podunio's intellectual property are granted to you.

15. Copyright Complaints

If you believe content processed through Podunio infringes copyright or other content rights, send a detailed notice to [email protected]. Include enough information for us to identify the material, understand your rights, and contact you. Podunio does not represent that it has a registered DMCA agent.

16. Privacy

Our Privacy Policy explains how Podunio handles account information, source content, generated podcasts, browser storage, and other information. Please read it carefully.

17. Third-Party Services

Podunio relies on third-party services such as OpenAI, Google authentication, AWS, Cloudflare, and hosting and database providers. Your interaction with those services may be subject to their own terms and privacy practices. Podunio does not control and is not responsible for third-party services outside the scope of our relationship with them.

18. Suspension and Termination

We may suspend or terminate access when we reasonably believe you have materially violated these Terms, created legal or security risk, misused Podunio, or when suspension is reasonably necessary to protect the service or others. Where reasonable, we may provide notice and an opportunity to address the issue.

You may stop using Podunio at any time. Podunio does not currently provide a self-service full-account deletion feature; you may request account or data deletion at [email protected], subject to the conditions described in our Privacy Policy. Terms that by their nature should survive termination will remain in effect.

19. Service Availability and Changes

We may maintain, update, add, modify, suspend, or discontinue features of Podunio. We do not guarantee that the service or any feature will always be available, that every generation will succeed, or that stored content will remain available indefinitely. When practical, we will try to provide reasonable notice of material service changes.

20. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODUNIO IS PROVIDED "AS IS" AND "AS AVAILABLE." PODUNIO LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE PERFECT AI ACCURACY, UNINTERRUPTED AVAILABILITY, SUCCESSFUL GENERATION EVERY TIME, ERROR-FREE AUDIO, COMPLETE SOURCE INTERPRETATION, OR THAT THE SERVICE WILL MEET EVERY REQUIREMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODUNIO LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, RELIANCE ON AI-GENERATED CONTENT, OR FAILURES OF THIRD-PARTY SERVICES, ARISING OUT OF OR RELATED TO PODUNIO OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODUNIO LLC'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID PODUNIO FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100.

These limits do not apply where liability cannot lawfully be excluded or limited, including any rights you may have under applicable consumer-protection law.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Podunio LLC and its officers, members, employees, and contractors from third-party claims, damages, and reasonable costs arising from content you submit without authorization, your violation of law or third-party rights, your misuse of Podunio, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Podunio LLC's own negligence, willful misconduct, or violation of law.

23. Governing Law

These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict-of-laws principles, except to the extent the law where you live requires otherwise.

24. Disputes

Before filing a formal claim, you and Podunio LLC agree to make a good-faith effort to resolve the dispute by written notice and discussion. If the dispute is not resolved, it must be brought in a state or federal court located in Connecticut, and each party consents to those courts' jurisdiction and venue, unless applicable law gives you the right to bring a claim elsewhere.

25. Changes to Terms

We may update these Terms to reflect changes to Podunio, law, or our business practices. We will post the revised Terms and update the "Last updated" date. If changes are material, we will provide additional notice when reasonably appropriate or required by law. Your continued use after revised Terms take effect means you accept the revised Terms, to the extent permitted by law.
